Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) establish the terms under which 4 Freight Inc. (“Company,” “we,” or “us”) grants you permission to access and use TMS360, our transportation management platform at www.tms360.io (the “Platform”), including associated mobile applications, APIs, and services.

By creating an account, accessing, or using TMS360, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

These Terms are a binding contract between you (and the company or organization you represent) and 4 Freight Inc. We reserve the right to introduce new features or limits, or suspend or discontinue any part of the Platform, at any time with reasonable notice.

2. Eligibility

TMS360 is designed for licensed motor carriers, freight brokers, and hybrid operations in the United States. You must hold a valid MC or DOT number to create a company account. You must be at least 18 years of age to use the Platform. By using TMS360, you represent and warrant that you have the authority to bind your company to these Terms and that you meet all eligibility requirements.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality and security of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must provide accurate, current, and complete company and contact information
  • You must promptly notify us of any unauthorized access to or use of your account
  • You must not share your login credentials with unauthorized parties
  • You must ensure that all persons who access the Platform through your account are aware of and comply with these Terms

We have the right to disable any account at any time if, in our opinion, you have violated any provision of these Terms.

4. Acceptable Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use TMS360 for any unlawful purpose or in violation of any applicable law or regulation
  • Upload malicious files, viruses, trojan horses, or other harmful material
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Platform or its servers
  • Use any robot, spider, scraper, or automated tool to access the Platform without our written permission
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform
  • Reproduce, distribute, modify, or create derivative works of the Platform or its content
  • Misrepresent your authority status, company information, or identity
  • Use the Platform in any manner that could disable, overburden, or impair its functionality
  • Attack the Platform via a denial-of-service attack or distributed denial-of-service attack
  • Use the Platform to transmit unsolicited advertising, spam, or promotional material

5. Your Data and Content

You retain ownership of all data you upload to TMS360, including rate confirmations, load records, documents, team information, and operational data (“Your Content”). We do not claim ownership of Your Content.

You grant us a limited, non-exclusive, worldwide license to process, store, display, and transmit Your Content solely to provide, maintain, and improve the Platform. This license terminates when you delete Your Content or close your account, except as required for backups, legal obligations, or legitimate business purposes.

You represent and warrant that you own or have the necessary rights to all content you upload, and that Your Content does not violate the rights of any third party.

6. Intellectual Property Rights

The Platform and its entire contents, features, and functionality — including all software, code, text, displays, images, graphics, designs, user interface, and the selection and arrangement thereof — are owned by 4 Freight Inc., its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The TMS360 name, the “TMS360” mark, the TMS360 logo, and all related names, logos, and slogans are trademarks of 4 Freight Inc. You must not use these marks without our prior written permission. All other trademarks on the Platform are the property of their respective owners.

No right, title, or interest in or to the Platform or any content on the Platform is transferred to you. All rights not expressly granted in these Terms are reserved by the Company.

7. AI Extraction

Our AI-powered rate confirmation extraction is provided on a best-effort basis. While we target high accuracy, you are responsible for reviewing all extracted data before acting on it. We are not liable for errors in AI-extracted information, including incorrect rates, stops, equipment details, or broker information. AI extraction should be treated as a productivity tool, not a substitute for human verification.

8. Third-Party Integrations

TMS360 integrates with third-party services to provide geocoding, routing, telematics, and other functionality. These include HERE Maps, Samsara, Motive, and others. These services are provided by their respective companies, governed by their own terms and pricing, and billed directly to you by those providers — not by TMS360. We are not responsible for the availability, accuracy, or pricing of third-party services.

FMCSA carrier and broker data is sourced from public government databases and updated daily. We do not guarantee the real-time accuracy of this data. Always verify critical authority, insurance, and safety information directly with FMCSA before making business decisions. We are not responsible for errors or omissions in publicly available FMCSA data.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted, error-free, or secure service. We may perform maintenance, updates, or experience downtime. We will provide reasonable notice for planned maintenance when possible. We reserve the right to withdraw or amend the Platform in our sole discretion without notice. We will not be liable if the Platform is unavailable at any time or for any period.

10. Pricing & Payment

Pricing is as listed on our website. We may change prices with 30 days' notice. Subscriptions renew automatically unless cancelled before the renewal date. You are responsible for all charges incurred under your account. Refunds are handled on a case-by-case basis. All fees are non-refundable except as expressly stated or required by law.

11. Disclaimer of Warranties

YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL 4 FREIGHT INC., ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

Our total aggregate liability to you for all claims arising from or related to the Platform shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless 4 Freight Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Platform, your content, or your violation of any law or rights of a third party.

14. Copyright Infringement

If you believe that any content on the Platform violates your copyright, please send a notice to [email protected] with: (a) a description of the copyrighted work; (b) the location of the infringing material on the Platform; (c) your contact information; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

15. Termination

Either party may terminate this agreement at any time. You may cancel your account through the Platform or by contacting us. Upon termination, we will provide a reasonable period (not less than 30 days) to export your data. We may suspend or terminate accounts immediately if we believe you have violated these Terms, without prior notice.

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without giving effect to any choice or conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the federal or state courts located in DuPage County, Illinois. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

17. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

18. Waiver and Severability

No waiver by the Company of any term or condition in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and 4 Freight Inc. with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform.

20. Changes to These Terms

We may revise these Terms from time to time. All changes are effective immediately when posted. We will provide at least 30 days' notice for material changes via email or in-app notification. Your continued use of the Platform following the posting of revised Terms means you accept and agree to the changes. You are expected to check this page periodically for updates.
